ARZHANG TERMS & CONDITIONS Version V10 Effective date: 5 October 2026
1. WHO OPERATES ARZHANG ARZHANG is a digital art discovery, publishing and connection service operated from Denmark by Basaamad Co, CVR 36612266 (Danish personally owned small business / PMV), operating ARZHANG (the “Operator”, “ARZHANG”, “we”, “us” or “our”).
Physical address: Ståbyvej 22, 2740 Skovlunde, Denmark Email: support@arzhang.art Website: https://arzhang.art
Registered operator: Basaamad Co. CVR: 36612266. Legal form: Personligt ejet Mindre Virksomhed (PMV).
2. ACCEPTANCE, SCOPE AND MANDATORY RIGHTS These Terms govern access to and use of the ARZHANG mobile applications, websites, QR/deep-link services, discovery features, artist and Place/venue tools, purchase-request coordination, private purchase conversations and general artist direct messaging, exhibition applications, reviews, moderation, support features and related services (together, the “Service”).
By creating an account, accepting these Terms in the Service, submitting content, or using account-based features, you agree to these Terms. If you do not agree, do not create or use an account or submit content.
Nothing in these Terms excludes, restricts or waives rights that cannot lawfully be excluded, including mandatory consumer, product-safety, data-protection, digital-services or other statutory rights applicable to you. If any provision conflicts with mandatory law, the mandatory law prevails to the extent of the conflict.
3. ELIGIBILITY AND AGE You must be at least 18 years old and legally capable of entering binding agreements to create an ARZHANG account, list artwork, operate an artist or venue profile, submit or accept a purchase request, submit an exhibition application, or otherwise use transactional or professional features.
ARZHANG is not directed to children and does not knowingly offer accounts to children. If you use ARZHANG for or on behalf of an organisation, you confirm that you are authorised to act for that organisation.
4. WHAT ARZHANG IS — AND IS NOT ARZHANG is an information, discovery, content-hosting, moderation and connection platform for art, artists, buyers, collectors, venues and exhibitions.
Unless ARZHANG expressly states otherwise for a specific service: (a) ARZHANG is not the seller, buyer, owner, consignor, consignee, gallery, auctioneer, art dealer, broker, agent, fiduciary, escrow provider, payment institution, shipping provider, insurer, authenticator, appraiser, valuation service, tax adviser or legal adviser for any artwork or user-to-user arrangement; (b) ARZHANG does not take title to artworks or other property; (c) ARZHANG does not collect, hold or settle the purchase price for artwork, deposits, venue fees, exhibition fees or other user-to-user payments; (d) ARZHANG does not guarantee that a user will enter into or complete any transaction, exhibition, delivery or other arrangement; and (e) ARZHANG status labels, notifications and workflow steps are coordination tools and do not by themselves create a sale, agency, escrow, consignment, exhibition or venue contract.
ARZHANG is not designed to conclude the binding sale of physical artwork inside the Service. Binding sales are made directly between users outside ARZHANG unless ARZHANG expressly launches a different regulated transaction feature under separate terms.
5. LIMITED LICENCE TO USE THE SERVICE Subject to these Terms, ARZHANG grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the Service for its intended purposes. For a mobile application, this includes installing and using the application on devices that you own or control, subject to the usage rules of the applicable app store.
You may not copy, sell, rent, lease, sublicense, reverse engineer, circumvent technical protections, interfere with security controls, or exploit the Service except where such restriction is prohibited by mandatory law.
The ARZHANG name, logos, product design, software, databases and other ARZHANG-owned materials are protected by intellectual-property law. No rights are granted except those expressly stated.
6. ACCOUNTS, ROLES AND SECURITY A single account may use buyer, artist and/or venue functionality where available. You must provide accurate information, keep credentials confidential, protect access to your device, and promptly update material account information.
You are responsible for activity carried out through your account except to the extent caused by ARZHANG’s own breach of duty or otherwise provided by mandatory law. Notify ARZHANG promptly if you reasonably believe your account has been compromised.
You may not impersonate another person, misrepresent affiliation, create deceptive identities, evade moderation or suspension, manipulate account roles, or use another person’s account without permission.
7. ARTIST, ARTWORK, PLACE/VENUE AND EXHIBITION CONTENT Users are responsible for the accuracy, legality and completeness of content they submit, including names, biographies, images, artwork descriptions, dimensions, medium, condition, provenance statements, prices, availability, Place/venue descriptions, public website/email/phone details, addresses, exhibition details and other representations.
Publication, an “approved” state, an “auto-approved” state, a verification state, moderation approval, prominence in discovery or any other ARZHANG status means only that content passed the platform process applicable at that time. It is not certification or a warranty of identity, authenticity, authorship, originality, ownership, title, provenance, condition, safety, legality, copyright clearance, value, suitability, availability, trader status, venue quality or regulatory compliance.
ARZHANG does not independently inspect every artwork, venue, user or statement. Some submissions may be published through automated validation or trusted-account auto-approval without prior human review. All content remains subject to later review, reporting, restriction or removal.
8. USER-GENERATED CONTENT AND INTELLECTUAL PROPERTY You retain ownership of intellectual-property rights you hold in content you submit. You grant ARZHANG a non-exclusive, worldwide, royalty-free licence, for as long as the content is hosted or reasonably required for backup, security or legal purposes, to host, store, reproduce, resize, transcode, display, distribute, moderate and technically process that content to operate, secure, promote and improve the Service and to make the content available as you direct through ARZHANG.
For private messages, including purchase-conversation and general direct-message content, this licence is limited to what is reasonably necessary to store, transmit, display to the intended counterparty, secure, troubleshoot, preserve where lawfully required, and review/moderate when reported or otherwise necessary to enforce these Terms or applicable law. Private messages are not public content and are not licensed for public promotional display.
You represent that you have all rights, permissions and licences necessary to submit and display your content and that doing so does not infringe copyright, moral rights, trademark, design rights, privacy, publicity, confidentiality, contractual or other rights.
Do not upload content that you do not have the right to use. ARZHANG does not independently verify that an artwork is original, authentic, non-infringing or owned by the listing user. Rights holders and users may report suspected illegal, counterfeit or infringing content through the in-app reporting/support channels or the contact details below.
9. OBJECTIONABLE, ILLEGAL AND RESTRICTED CONTENT You must not use the Service to upload, publish, list, promote, request, arrange, send through a private conversation, or distribute content or activity that is illegal, fraudulent, deceptive, threatening, harassing, hateful, discriminatory, defamatory, privacy-invasive, sexually exploitative, pornographic or sexually explicit, child-endangering, violent in an unlawful manner, counterfeit, stolen, sanctions-restricted, rights-infringing, malware-related or otherwise prohibited by applicable law, app-store rules or ARZHANG safety rules.
You must not use purchase conversations or general direct messages to scam, spam, impersonate, threaten, harass, solicit illegal activity, distribute malware, evade blocking or moderation, or send unlawful or abusive content. Do not send banking passwords, one-time authentication codes, full payment-card details, crypto seed phrases or other sensitive financial credentials through ARZHANG private messaging.
Content depicting non-explicit artistic nudity may be restricted, hidden, age-limited, declined or removed depending on context, law, app-store requirements and the distribution channel. Child sexual abuse material, sexual exploitation of minors and content that facilitates child endangerment are strictly prohibited and may be reported to competent authorities where required.
You must not manipulate reviews, create fake purchase workflows, submit fraudulent notices, scrape or harvest personal data, probe or attack the Service, bypass access controls, interfere with other users, facilitate money laundering or sanctions evasion, or use ARZHANG for unlawful commercial activity.
10. MODERATION, AUTOMATED TOOLS, REPORTING, BLOCKING AND APPEALS ARZHANG may use a combination of automated validation, rule-based checks, trusted-account settings, pre-publication review, post-publication review, user reports, blocking tools and human moderation.
ARZHANG may refuse, delay, auto-approve, approve, reject, hide, unpublish, demote, restrict, disable access to, remove or require changes to content, and may restrict account features, where reasonably necessary to enforce these Terms, protect users, comply with law or app-store requirements, respond to reports, protect intellectual-property rights, or maintain service integrity.
An artist may be given a trusted auto-approval setting by an authorised ARZHANG administrator. This can allow future artist-profile or artwork submissions or revisions to publish without manual review. The setting may be withdrawn at any time, does not waive these Terms, and does not prevent later moderation or removal. Auto-approval is an internal workflow decision, not an endorsement or guarantee.
Users can report objectionable or illegal content and users through available in-app reporting tools or support channels and can block users where the Service provides that feature. ARZHANG may preserve relevant evidence while investigating reports. A participant in an eligible purchase conversation or general direct-message thread may report a message. When that occurs, ARZHANG may preserve and review the reported message, report reason/details and related account, conversation or purchase context as reasonably necessary for safety, moderation, fraud/abuse prevention, Terms enforcement, legal claims or legal obligations. Blocking may disable further messaging between the affected accounts.
For notices of allegedly illegal content, provide enough information to identify the specific content, explain why you consider it illegal, provide supporting information where appropriate, and give contact information unless lawful anonymous reporting is available. ARZHANG will assess sufficiently precise notices in a timely, diligent, objective and proportionate manner as required by applicable law.
Where required by the EU Digital Services Act or other applicable law, ARZHANG will provide a statement of reasons for certain content or account restrictions and information about available redress, including internal complaint handling or other remedies where applicable. Appeals do not guarantee reversal.
ARZHANG may, after warning where required, restrict users who frequently submit manifestly illegal content or who frequently submit manifestly unfounded notices or complaints, taking account of severity, frequency, proportion and other relevant circumstances.
11. PURCHASE REQUESTS AND ARTWORK SALES A “purchase request”, acceptance, reservation state, “payment arranged” marker, completion confirmation or similar workflow event in ARZHANG is a coordination feature. Unless ARZHANG expressly states otherwise, it is not itself a binding sale contract and ARZHANG is not a party to the sale.
After an artwork is reserved, ARZHANG may provide a private purchase conversation between the buyer and artist so they can coordinate matters such as payment arrangements, inspection, pickup, delivery or other transaction logistics. The purchase conversation remains tied to that purchase workflow and is distinct from ARZHANG's general artist direct-messaging feature. The ability to send new purchase-conversation messages may become read-only after the purchase is closed, after a limited follow-up period, or when a participant closes or blocks the conversation as supported by the Service.
ARZHANG does not automatically disclose the buyer's or artist's private phone number or email address through the current purchase workflow. A user may voluntarily type contact details, an address or other transaction information into the purchase conversation. Information voluntarily sent to the counterparty becomes visible to that counterparty and may be used by them outside ARZHANG. Users should share only what is reasonably necessary and should never send banking passwords, one-time authentication codes, full payment-card details, crypto seed phrases or similar sensitive credentials.
ARZHANG does not routinely monitor every private purchase message and does not guarantee message delivery, response, identity, truthfulness, transaction safety or successful completion. Messages may be subject to technical abuse controls and may be reviewed when reported or where reasonably necessary for security, Terms enforcement or legal compliance. A message report is a platform-safety tool; it does not make ARZHANG an arbitrator of the underlying sale.
A request to “mark as not completed”, an agreement to do so, or a confirmation that a purchase is “marked as not completed” only updates the ARZHANG purchase record. It does not by itself cancel or rescind an off-platform sale, reverse or refund a payment, arrange or confirm a return, determine legal rights, or resolve a dispute. Any return, refund, repayment, cancellation or other remedy must be agreed directly between the parties or pursued through the relevant payment provider, carrier, consumer-protection process, court or other independent mechanism where applicable.
Any binding sale agreement must be concluded directly between the buyer and the artist/seller outside ARZHANG. The parties are solely responsible for agreeing and verifying all relevant terms, including identity, legal capacity, price, currency, taxes, VAT, payment method, payment timing, condition, authenticity, provenance, title, copyright/licensing, certificates, packing, collection, shipping, delivery, customs, import/export restrictions, insurance, risk of loss, inspection, returns, cancellation, refunds, warranties and dispute resolution.
ARZHANG does not process, hold, secure, guarantee or reverse payment between buyer and seller. Users must not send full payment-card details, banking passwords, one-time authentication codes, seed phrases or other sensitive financial credentials through ARZHANG content, purchase conversations, general direct messages or ordinary support channels.
ARZHANG does not guarantee that a listed work exists, remains available, is authentic, is an original work, is free of third-party rights, has the stated provenance or condition, can lawfully be exported/imported, or will be delivered. Buyers should conduct appropriate due diligence before paying. Sellers are responsible for having legal title or authority to sell and for making disclosures required by law.
ARZHANG may require a buyer, artist or seller to acknowledge a direct-transaction or safety notice at important workflow stages, including before a purchase request, reservation, payment-arranged marker or completion confirmation. Such an acknowledgement records only that the user was shown and accepted the notice. It does not prove that payment was made or received, that an artwork was delivered, that an artwork is authentic or as described, that ownership or title is valid, or that the parties performed any agreement.
Where practical, buyers should inspect an artwork in person before paying. Users should independently verify the counterparty and the agreed price and terms, meet in a safe and appropriate location when arranging an in-person handover, use a payment method that provides an appropriate record, and keep written evidence of important terms. If shipping is used, the parties should agree in advance on condition, packing, tracking, insurance, delivery, risk of loss, returns and refunds. These precautions reduce risk but are not guarantees by ARZHANG.
If buyer and seller disagree about payment, delivery, condition, authenticity, ownership, cancellation, returns, refunds or whether a transaction is complete, the parties remain responsible for addressing that disagreement directly and may seek independent consumer, legal, payment-provider, carrier or other professional assistance where appropriate. ARZHANG support may receive reports concerning fraud, abuse, safety, illegal activity, violations of these Terms or technical/platform problems and may take proportionate platform actions. ARZHANG does not act as an arbitrator, escrow agent, payment adjudicator or court and does not determine civil liability between users or order a user-to-user payment or refund except where ARZHANG is legally required to act.
The “Transaction problem” flow is intended to record a private transaction issue and support coordination between the parties. “Report suspected misuse” is intended for suspected scam or fraud, deception, impersonation, threats, illegal content or other misuse of ARZHANG. ARZHANG may investigate platform misuse and take account or content action, but use of either flow does not create a promise that ARZHANG will obtain or order a refund, return, replacement, delivery or other private transaction remedy.
Public and private workflow labels such as “Reserved”, “Sale pending”, “Payment arranged”, “Completed” or “Sold” are coordination labels derived from platform/user actions. They are not verification by ARZHANG of payment, delivery, authenticity, condition, ownership, satisfaction or legal completion of a sale.
General artist direct messaging ARZHANG may allow a signed-in user to start a private direct conversation from an eligible public Artist profile when the Artist has enabled direct messages. This feature is separate from a purchase conversation and does not create a purchase request, reservation, representation relationship or sale agreement.
An Artist may turn general direct messaging off. While it is off, users cannot start new general direct conversations with that Artist and existing general direct conversations may become read-only until the Artist enables the feature again. Blocking, account restrictions, safety controls or account unavailability may also prevent further messages. Existing history may remain visible subject to these Terms and the Privacy Policy.
General direct messaging is intended for lawful person-to-person communication connected with artists, art and use of ARZHANG. It must not be used for spam, unsolicited mass outreach, scams, impersonation, harassment, threats, illegal solicitation, malware, evasion of platform controls or other prohibited conduct. ARZHANG may apply rate limits and other abuse-prevention controls.
ARZHANG does not guarantee that a direct message will be delivered, read or answered, or that the recipient's statements are accurate. Users are responsible for deciding whether and how to continue a conversation or move communication outside ARZHANG. Information voluntarily sent to another user becomes visible to that user and may be copied or used by them outside ARZHANG, so users should share only what is reasonably necessary.
ARZHANG does not routinely monitor every private direct message and does not represent direct messages as end-to-end encrypted. Message content and related metadata are stored and processed to operate and secure the feature and may be reviewed when a message is reported or where reasonably necessary for security, Terms enforcement or legal compliance. An eligible message may be reported through the available reporting flow, and blocking a user may disable further messaging between the affected accounts.
12. CONSUMER AND TRADER RIGHTS IN USER-TO-USER SALES Where a seller is acting as a trader/business and a buyer is a consumer, mandatory consumer rights may apply to the direct buyer-seller contract, including information, conformity, cancellation, return, refund or warranty rights depending on the facts and applicable law. Those rights cannot be excluded by these Terms.
ARZHANG does not determine or guarantee a user’s legal status as trader or consumer unless the Service expressly provides such verification. Users are responsible for accurately representing their status and complying with duties that apply to them.
If ARZHANG later introduces functionality through which consumers can conclude distance contracts with traders directly inside the Service, ARZHANG may introduce additional trader verification, disclosure and marketplace terms before that functionality is made available.
13. NO APPRAISAL, INVESTMENT, TAX OR LEGAL ADVICE Prices, popularity, saves, reviews, search position, verification labels, moderation status and other information shown in ARZHANG are not valuations, appraisals, investment recommendations, tax advice, legal advice or guarantees of future value. Art may lose value and may be difficult to resell. Obtain independent professional advice where appropriate.
14. PLACES, VENUES, EXHIBITIONS AND APPLICATIONS ARZHANG may use the user-facing term “Place” for a gallery, café, restaurant, hotel, clinic, art fair, exhibition host or other physical venue/host space. Place/venue profiles, exhibition listings and exhibition applications are discovery and coordination tools. ARZHANG is not the landlord, venue operator, curator, organiser, promoter, insurer, security provider, contractor or agent for an exhibition unless expressly agreed in a separate written contract signed by ARZHANG.
Submitting or accepting an exhibition application through ARZHANG does not by itself create a binding venue, exhibition, consignment or representation agreement. Artists, venues and organisers must enter any binding agreement directly outside ARZHANG.
Those parties are solely responsible for venue availability and suitability; access; opening hours; installation and de-installation; transport; storage; handling; security; fire/building/accessibility rules; permits; licences; staffing; supervision; insurance; public liability; damage, theft or loss; artwork condition; sales commissions; taxes/VAT; cancellation; force majeure; publicity permissions; music/performance rights; health and safety; and compliance with local law.
ARZHANG does not inspect or certify venues and does not guarantee footfall, sales, attendance, safety, accessibility, insurance coverage, exhibition quality or commercial outcome.
15. REVIEWS AND RATINGS Where enabled, eligible buyers may submit a review of an artist after a completed purchase workflow. Reviews reflect the author’s opinion and are user-generated content, not ARZHANG’s endorsement, verification or factual certification.
Reviews must be based on genuine experience and must not be fabricated, purchased, incentivised in a misleading manner, retaliatory, abusive, discriminatory, defamatory or otherwise unlawful. ARZHANG may moderate, reject, hide or remove reviews and may act against manipulation.
ARZHANG may retain limited historical artwork-review compatibility records, but current product flows may focus on artist reviews.
16. QR CODES, LINKS AND SHARING ARZHANG may provide QR codes, deep links and public web links for profiles and content. A QR code or link is a routing convenience only. Content may later become unavailable because it is unpublished, moderated, removed, expired, made private, deactivated or otherwise inaccessible.
Users are responsible for checking links before printing or distributing materials and for ensuring that QR-code use complies with applicable advertising, privacy, property and venue rules. ARZHANG does not guarantee permanent link availability or compatibility with every scanner, browser or device.
17. LOCATION INFORMATION Location information is provided for discovery and coordination. Artist locations may be approximate or city-level, while Place/venue/exhibition information may be more precise. ARZHANG does not guarantee location accuracy, accessibility, safety, route suitability or opening status. Do not rely on ARZHANG as an emergency, navigation or personal-safety service.
18. SEARCH, DISCOVERY AND RECOMMENDATION ORDERING Search, catalogue and nearby results may be filtered or ordered using user-selected criteria and system signals such as relevance, recency, distance, availability, publication/moderation status, profile completeness or other product-quality signals. ARZHANG does not guarantee placement, ranking, visibility, reach, sales or exposure.
ARZHANG may provide artists with aggregate engagement insights, including artwork saves and artwork-detail views. These metrics are service analytics, not a verified count of unique natural persons, and they do not guarantee reach, interest, sales or commercial performance. Artwork-detail views may be deduplicated by technical rules such as one counted view per artwork and installation/session identifier within a defined period, and authenticated owner self-views may be excluded.
ARZHANG may use AI-assisted functionality for features such as artwork search, semantic matching, embeddings, Smart Tag suggestions and draft short descriptions. AI-generated or AI-assisted outputs are suggestions and may be incomplete or inaccurate. Users remain responsible for reviewing content before publishing or relying on it.
Where applicable law requires additional recommender-system or automated-processing transparency, ARZHANG will provide the required information and controls.
19. FEES, FREE ACCESS AND FUTURE SUBSCRIPTIONS At the current stage, buyer access is free. ARZHANG may offer artists and venues free, promotional, pilot, trial, complimentary, grandfathered or “lifetime free” access.
ARZHANG may introduce paid artist/venue plans or optional paid features in the future.
If ARZHANG plans to make a currently free Artist membership or material Artist-only functionality subject to a paid recurring subscription, affected users will receive clear advance notice before the change takes effect. ARZHANG intends to provide at least 30 days' advance notice where reasonably practicable, and any longer period required by applicable law or app-store rules will apply. The notice will identify the planned effective date and, where applicable, the subscription price, billing period, renewal basis, included features and available choices.
No existing free user will be charged or converted into a paid recurring subscription merely because ARZHANG introduces a paid plan. A recurring subscription requires the user's affirmative purchase/consent through the applicable billing flow. If a user does not subscribe, the user will not be charged; after the notified effective date, access to features designated as paid may be limited or unavailable, subject to mandatory law, any express grandfathered/lifetime-free commitment, and any transition terms communicated with the change.
Where ARZHANG expressly grants an account a “lifetime free” or grandfathered-free plan, that promise applies to the core features specifically included in that grant at the time it is made. ARZHANG may still introduce optional paid features, materially new services, higher service tiers, third-party pass-through charges, or features not included in the original grant. ARZHANG will not impose a mandatory recurring fee for the expressly grandfathered core plan without the user’s express agreement.
Any future in-app purchase, subscription or digital paid functionality will be offered in accordance with applicable Apple App Store and Google Play billing rules and consumer-law disclosure requirements. Payments for physical artwork between users take place outside ARZHANG and are not digital in-app purchases from ARZHANG.
20. APPLE APP STORE, GOOGLE PLAY AND THIRD-PARTY SERVICES The Service relies on third-party infrastructure and distribution platforms. Third-party terms may apply in addition to these Terms, and you must comply with applicable third-party terms when using the Service.
For an ARZHANG app obtained through Apple’s App Store, these Terms are between you and ARZHANG, not Apple. ARZHANG, not Apple, is responsible for the Service and its content to the extent provided by applicable law. Apple has no obligation to provide maintenance or support for ARZHANG and is not responsible for user-to-user artwork sales, exhibitions or other arrangements. To the extent these Terms are treated as a developer EULA, Apple and its subsidiaries are intended third-party beneficiaries and may enforce the relevant app-store provisions against you. Apple’s standard EULA and App Store terms may also apply unless a valid custom EULA is provided in App Store Connect.
For an ARZHANG app obtained through Google Play, these Terms are between you and ARZHANG, not Google. Google is not a party to user-to-user transactions or exhibitions. Google Play terms and policies may separately apply to your use of Google Play and the Android application.
Neither Apple nor Google sponsors, verifies or endorses individual artworks, artists, venues, reviews or user-to-user transactions merely because ARZHANG is distributed through their stores.
Where required by applicable distribution terms, you represent that you are not located in a jurisdiction subject to a U.S. Government embargo or designated as supporting terrorism and are not listed on a U.S. Government prohibited or restricted-party list.
20A. SERVICE NOTIFICATIONS AND EMAIL PREFERENCES ARZHANG may send service communications about account activity, including purchases, private messages, exhibitions, moderation, profile/content status and other operational updates. These service communications are separate from marketing.
Routine ARZHANG service email and service push preferences are enabled by default for an account so that operational updates can be delivered. You can turn either preference off at any time under Settings > Notifications & consent. Marketing email and marketing push remain separate and are not enabled unless you opt in.
ARZHANG service emails include a footer link to Notifications & consent so you can manage or stop routine service email delivery. Turning routine service email off does not disable the in-app notification inbox.
Authentication, password-reset, security, legal or account-administration emails that are reasonably necessary to operate or protect your account, comply with law, or respond to your request may still be sent even when routine service email is disabled.
21. SERVICE AVAILABILITY, CHANGES AND FORCE MAJEURE ARZHANG is evolving and may add, modify, suspend or discontinue features. We aim to provide a reliable Service but do not guarantee uninterrupted or error-free availability, permanent storage of user content, delivery of every notification, continuous accessibility of every QR code/link, or that every feature will remain available in every country or app-store distribution channel.
Maintenance, outages, internet failures, cloud-provider failures, app-store restrictions, security events, legal requirements and events outside reasonable control may interrupt the Service. Where a change materially affects paid rights or mandatory consumer rights, ARZHANG will provide notice and obtain consent where legally required.
22. SECURITY AND USER PRECAUTIONS No online service is completely secure. Use strong credentials, protect your devices, verify transaction counterparties independently, use reputable payment and shipping methods, and be alert to scams and social engineering. Do not treat ARZHANG private messaging as a secure vault for secrets or financial credentials; ARZHANG does not represent purchase conversations or general direct messages as end-to-end encrypted.
ARZHANG will never need your banking password, one-time bank authentication code, payment-card PIN or crypto seed phrase to facilitate an artwork purchase between users.
For an in-person exchange, choose a safe and appropriate place, use reasonable personal-safety precautions, and do not proceed if you are uncomfortable with the circumstances. For higher-value transactions, users should consider additional independent verification and appropriate insurance. For shipped artworks, use suitable packing, tracking and insurance where appropriate and retain transaction records.
23. SUSPENSION, TERMINATION AND ACCOUNT DELETION You may stop using the Service and may request account deletion through the available in-app and web deletion flows, subject to lawful retention described in the Privacy Policy. To protect users and preserve the integrity of active workflows, immediate self-service account deletion may be temporarily unavailable while your account is involved in an unresolved purchase request or purchase-resolution flow, an active exhibition application, or an active exhibition that you manage. You must first close, resolve, withdraw, complete or cancel the relevant workflow as applicable. This product safeguard does not prevent you from contacting ARZHANG to exercise data-protection rights; privacy requests are assessed separately under applicable law and the Privacy Policy. When an account is deleted, private-message content associated with that account is removed or anonymised from live purchase conversations and general direct-message threads where applicable, while limited reported-message or compliance evidence may be retained where lawfully necessary for safety, fraud/abuse prevention, Terms enforcement, legal claims or legal obligations.
ARZHANG may suspend or terminate access, remove content, restrict features or preserve evidence where reasonably necessary for security, illegal-content handling, repeated Terms violations, fraud prevention, legal compliance, protection of users or third-party rights, or app-store compliance.
Where required by law, ARZHANG will provide notice or reasons and an opportunity to contest a decision. Immediate action may be taken where reasonably necessary to address urgent safety, security, fraud, legal or child-protection risks.
24. DISCLAIMERS To the fullest extent permitted by mandatory law, the Service is provided on an “as available” basis. ARZHANG does not make warranties or guarantees regarding user identity; content accuracy; authenticity; originality; provenance; ownership; copyright clearance; trader status; merchantability; fitness for a particular purpose; value; condition; safety; legality; availability; delivery; payment; refund; exhibition success; venue suitability; search ranking; user conduct; notification delivery; QR availability; or transaction completion.
Moderation, verification, approval, auto-approval, review eligibility, completion confirmation or other workflow states are not due diligence, professional advice, authentication, appraisal, escrow, insurance or guarantees.
Nothing in these Terms limits rights, statutory guarantees or remedies that cannot lawfully be excluded.
25. LIMITATION OF LIABILITY Nothing in these Terms excludes or limits liability where exclusion is prohibited by law, including liability for fraud, intentional misconduct, gross negligence where it cannot be limited, death or personal injury where liability cannot lawfully be excluded, or other mandatory liabilities. Mandatory consumer rights remain unaffected.
Subject to the previous paragraph and to the fullest extent permitted by law, ARZHANG is not responsible for losses caused by agreements or disputes between users; authenticity or title issues; copyright or other rights claims relating to user content; payment default; chargebacks; shipping, customs, delivery, storage, loss, theft or damage; venue or exhibition incidents; acts or omissions of artists, buyers, venues, organisers, payment providers, carriers or other third parties; or indirect business losses that were not a reasonably foreseeable consequence of ARZHANG’s own breach.
ARZHANG remains responsible for loss to the extent directly caused by ARZHANG’s breach of a mandatory legal duty where liability cannot lawfully be excluded or limited.
26. USER RESPONSIBILITY FOR CLAIMS You are responsible for losses, claims or regulatory consequences arising from your own unlawful conduct, infringement, fraud, misrepresentation or breach of these Terms to the extent permitted by law.
Nothing in this Section creates an unfair, automatic or unlimited indemnity against a consumer for matters outside that consumer’s control or waives rights protected by mandatory consumer law.
27. TAXES AND REGULATORY OBLIGATIONS Users are responsible for determining and meeting their own tax, VAT, customs, reporting, licensing, export/import, cultural-property, sanctions, consumer-law and business-registration obligations arising from sales, exhibitions or professional activity. ARZHANG does not provide tax or legal advice.
28. PRIVACY ARZHANG processes personal data as described in the Privacy Policy. The Privacy Policy also explains private purchase-conversation and general direct-message data, message reports, account deletion, data-subject rights, location processing, media uploads, moderation records, notifications, technical data and service providers.
29. CHANGES TO THESE TERMS ARZHANG may update these Terms for legal, security, operational or product reasons. Material changes will be communicated in a reasonable manner. Where applicable law or ARZHANG’s legal-acceptance system requires renewed acceptance, account-based use may be paused until the updated Terms are accepted.
A new version applies from its stated effective date. Previous versions may remain retained for legal and audit purposes.
30. GOVERNING LAW AND DISPUTES These Terms are governed by Danish law, without depriving a consumer of mandatory protections available under the law of the consumer’s country of habitual residence where applicable.
Nothing in these Terms removes a consumer’s mandatory right to bring proceedings in a competent court or use a statutory complaint mechanism under applicable consumer and jurisdiction rules.
Before bringing a formal claim, users are encouraged to contact ARZHANG so the matter can be addressed directly. This does not limit statutory complaint, regulatory or court rights.
31. CONTACT, DSA POINT OF CONTACT, ILLEGAL CONTENT AND RIGHTS REPORTS Questions, complaints, illegal-content notices, copyright/rights reports, safety concerns and moderation appeals may be submitted through ARZHANG’s in-app support/reporting tools or to support@arzhang.art.
For purposes of electronic contact under the EU Digital Services Act where applicable, support@arzhang.art is ARZHANG’s user-facing point of contact unless another dedicated address is published. Competent authorities may use any dedicated authority-contact channel subsequently notified by ARZHANG.
A report should identify the specific content, explain the concern, provide enough information for ARZHANG to assess it, and include contact information where appropriate. Knowingly abusive or manifestly unfounded repeated reports may result in restrictions where permitted by law.
32. GENERAL If a provision of these Terms is held unenforceable, the remaining provisions continue to apply to the extent permitted by law. Failure to enforce a provision immediately is not a waiver. ARZHANG may assign these Terms as part of a lawful transfer, restructuring or sale of the Service, subject to mandatory user rights. You may not assign your personal account or rights under these Terms without ARZHANG’s consent except where mandatory law provides otherwise.
These Terms, together with the Privacy Policy and any feature-specific terms expressly presented to you, form the agreement governing your use of ARZHANG. In the event of a conflict, feature-specific mandatory terms apply to the relevant feature and mandatory law always prevails.
END OF TERMS
